Underlying作形容詞用，常出現(xiàn)在商務(wù)英語閱讀中，意為“根本的；基礎(chǔ)的；相關(guān)的”，如underlying trend潛在趨勢、underlying meaning潛在含義、underlying system深層制度、underlying issues潛在問題、underlying share期權(quán)基礎(chǔ)股份、underlying securities相關(guān)證券。

在商業(yè)買賣合同中，有一個(gè)特定術(shù)語：標(biāo)的資產(chǎn)（underlying asset），是指在合同中規(guī)定的涉及交易范圍的資產(chǎn)或是司法案件中涉及糾紛的需要明確的財(cái)產(chǎn)。標(biāo)的資產(chǎn)包括動(dòng)產(chǎn)和不動(dòng)產(chǎn)（movable and immovable property），可以是現(xiàn)金（ready money，cash）、證券（security）和房產(chǎn)（house property）等。
